ARTICLE I
NAME AND TYPE OF ORGANIZATION
The name of the organization shall be known as:
QUABOAG HIGHLANDERS PIPEBAND
Unless changed pursuant to the provisions in these bylaws, the entity
(hereinafter referred to as “QHP”) shall be an unincorporated non-profit (IRC
§501(c)(3)) association.
ARTICLE II
PURPOSE
The purpose of QHP shall be:
(1) To encourage musicianship by providing year-round
formal individual music instruction in:
(a) The great highland bagpipes
(b) Drums of the drum line (snare,
tenor, and bass drum)
(c) Formal instruction in a color
guard unit and other supporting roles of QHP
(2) to promote the traditions, culture, history, and
music of Scots, Irish, and Celtic peoples, and their American descendants,
through the development of a bagpipe band and instruction in the playing of the
great highland bagpipe and drums of the drum line;
(3) To support the region’s civic agencies, their
events and activities, through the operation of a bagpipe band.
(4) To raise and distribute funds exclusively for
charitable and educational purposes, including such purposes as the
distribution of funds to organizations that qualify as exempt under section
501(c)(3) of the Internal Revenue Services Code, or corresponding sections of
any future tax code.
ARTICLE III
MEMBERSHIP AND AFFILIATION
Section 1. Types
Membership and affiliation with QHP is open to any person without regard to
race, religion, gender, national origin, age, or sexual orientation who has an
interest in the general purposes of QHP, provided that the person is of good
character. Only Active members are awarded voting rights. Student members,
associate members, Honorary members and inactive members are not afforded
voting rights. There shall be five (5) types of membership and/or affiliation
with QHP:
Active Member.
Associate Member
Student Member
Honorary Member
Inactive Member
Deceased Member
(a) Active Membership. QHP’s active membership shall be unlimited in
number. Candidates for active membership must have demonstrated intent to
participate fully in the duties, responsibilities, and obligations of QHP; and
must be sponsored by the applicable section leader (Drum Major or Pipe Major
etc.). Nominees shall be elected to active membership by a two-thirds vote of
Executive Board. Notwithstanding, such newly elected member shall serve a
probationary period, the length of which shall be set by the Executive Board.
During such period of probation, the applicant shall serve at the pleasure of
the Pipe Major. Written notice of the applicant’s acceptance into QHP, along
with terms of the probationary period shall be provided to the applicant.
(b)
Associate Membership. Associate membership may be given to individuals who are
generally non-performing members of the QHP, but who offer support service to
the band sufficient to warrant formal affiliation. Nominees shall be elected to
associate membership by a two-thirds vote of Executive Board.
(c) Student Member. Student membership may be given to individuals enrolled
in the QHP educational program whose primary responsibility to the band is to
learn to play bagpipes, the drum or the color guard duties. Candidates for
Student Membership must be sponsored by the applicable section leader (Drum
Major or Pipe Major). Nominees shall be elected to student status by a
two-thirds vote of the executive board.
Shall a QHP Student Member drop out of the educational program the Executive
board shall then have in it’s discretion, the authority to terminate his/her
membership.
(d)
Honorary Membership. Honorary membership is awarded to those individuals who by
their service to QHP and to the community warrant formal recognition. There are
no formal responsibilities associated with this level of membership. Nominees
shall be elected to honorary membership by a two-thirds vote of Executive
Board.
(e)
Inactive Membership. Active members may be transferred to inactive status
either by the member’s request, or through non-performance of member
responsibilities but in the latter instance only by a unanimous vote of the
executive board. Active status may be regained by petitioning the executive
board. A two-thirds vote of the executive board will restore the member to
active status.
(f)
Deceased Member.
From time to time there may be persons who wish to associate themselves with QHP. Typically, they will be new students; persons from other pipe bands desiring to play and train with QHP; or persons desiring to learn or associate themselves without incurring the obligations of active membership. Since many of these persons who, upon meeting the eligibility criteria, will desire to become active members. Therefore, it shall be the general policy of QHP to support, and nurture these individuals to the extent that resources permit.
Section
2. Duties and privileges.
Only active members may hold office, make motions, vote, and chair committees.
Active members are entitled to all rights and privileges as such. Active
members may receive such reasonable compensation for band services rendered or
expenses incurred on behalf of QHP in the performance of and furtherance of
QHP’s stated purposes.
Active members are also expected to maintain a certain level of participation
and proficiency, at such levels as set forth, from time to time, by the
officers of QHP.
Additionally, active members are expected to remain in good standing by
ensuring prompt payments of all assessments, if any.
Upon the recommendation of the
Board, the band may provide financial assistance to an individual for the
purpose of acquiring the equipment and clothing necessary to perform, when it
is determined to be in the best interest of the band to do so. The terms of the loan shall be in writing
and signed by both parties.
Active members shall at all times conduct themselves with a demeanor and
decorum that comports with the highest standards of the communities that QHP
serves, as well as with that of other professional or semi-professional bagpipe
musicians, so that their conduct shall at all times reflect positively upon QHP
and/or its active members.
Active members are expected to maintain their uniforms and band equipment in a
good state of repair. They shall at all times be prepared to perform to the
highest level of their abilities.
Section
3. Resignations.
Any member desiring to resign from QHP shall submit his/her resignation, in
writing, to the secretary, who shall present it to the Executive Board for
action.
Section
4. Terminations.
If any member fails in the duties of membership, or conducts him or herself in
such a manner as to diminish or denigrate the welfare, interest, or harmony of
QHP, or cause dispersions to be cast upon QHP by community leaders or upon
other pipe band musicians and professionals, the Executive Board shall then
have in its discretion, the authority to:
(a) By majority vote, levy such penalty deemed appropriate, short of termination; and or
(b) By a two-thirds vote, terminate the offending member from active membership in QHP, and/or from all affiliation with QHP.
Section 5. Discrimination Prohibited.
(a) No individual shall be excluded from receiving instruction in the
Great Highland Bagpipes, any percussion instrument in the Bagpipe Drum Line, or
in any of the ancillary marching responsibilities, on account of, or because
of, that individual’s race, creed, religion, ancestral origin, age or gender,
nor shall there be any requirement that an individual seeking such instruction
indicate an intention to affiliate with or become a member of the QHP.
(b) No individual shall be excluded from making application for
membership to QHP, or becoming a member, a regimental officer or an
administrative officer therein, on account of, or because of, that individual’s
race, creed, religion, ancestral origin, age or gender.
(c) No member of QHP shall countenance or tolerate discrimination based
on an individual’s race, creed, religion, ancestral origin, age or gender,
whether directly or indirectly practiced upon another individual.
ARTICLE IV
DUES AND ASSESSMENTS
By a two-thirds vote of the membership, members and those affiliated with QHP
may be assessed dues or fees in order to defray those expenses incidental to
the purposes of QHP.
ARTICLE V
ORGANIZATION LEADERSHIP
Section 1. Administrative
Officers
The Administrative officers of QHP shall include:
President
Vice-President
Secretary
Treasurer
Communications Officer
Business Officer
Officers shall perform the duties prescribed
by these bylaws and by the parliamentary authority adopted by QHP. Together
they shall be known as the Administrative Board.
In addition to any other duties specified herein, they shall have the general
supervision of the affairs of QHP between its annual meetings. They shall fix
the hour of all meetings, make recommendations to the entire membership, and
shall perform other duties as specified in these by-laws. They shall be subject
to the orders of QHP, and none of its acts shall conflict with the action taken
by the QHP. In case of emergency they may make such emergency by-laws as
necessary, the duration and applicability of which is limited to the extent of
the emergency. These emergency by-laws are subject to repeal or amendment by
the membership, but absent a two-thirds vote by the membership at the next regularly
scheduled or special meeting, they shall terminate at the end of the emergency.
Nothing herein shall preclude the need for and appointment of special
assistants, should need require, and said assistants may be allowed to each
administrative office. These assistants are appointed positions and shall serve
the same term as they office they assist, and at the pleasure of the officer
they are assisting. Special assistants shall not have voting authority.
a. Duties of the President
1. To open all meetings at the appointed time by taking the chair and calling
the meeting to order having first ascertained that a quorum is present.
2. To announce, in proper sequence, the business that comes before the assembly
or becomes in order in accordance with the prescribed order of business,
agenda, or program and with existing orders of the day.
3. To recognize members who are entitled to the floor.
4. To state and put to vote all questions that legitimately come before the
assembly as motions or that otherwise arise in the course of proceedings and to
announce the result of each vote; or if a motion is not in order to rule it out
of order, or table it for further discussion.
5. To protect the assembly from obviously frivolous or dilatory motions by
refusing to recognize them.
6. To enforce the rules relating to debate and to order and decorum within the
assembly.
7. To expedite business in every way compatible with the rights of members.
8. To decide all questions of order, subject to appeal- unless, when in doubt, he
or she prefers to submit such a question to the assembly for decision.
9. To respond to inquiries of members relating to parliamentary procedure or of
actual information bearing on the business of the assembly.
10. To authenticate by his or her signature, when necessary, all acts, orders,
and proceedings of the assembly.
11. To declare the meeting adjourned when the assembly so votes or-where
applicable-at the time prescribed in the program, or at a time in the event of
a sudden emergency affecting the safety of those present.
12. To be a de-facto member of all committees.
13. To have the authority to authorize the expenditure of not more than $250
for a single purpose.
b. Duties of the Vice-President
1. To assume the duties of the president in his/her absence.
2. To assist the president in the performance of his/her duties.
3. To be a de-facto member of all committees.
c.
Duties of the Secretary
1. To keep a record of all the proceedings of QHP.
2. To keep on file all committee reports.
3. To keep QHP’s official membership role; and call the roll when required.
4. To make the minutes and records available to members upon reasonable
request.
5. To notify officers, committee members, and delegates of their election or
appointments, to furnish committees with whatever documents are required for
the performance of their duties, and to have on hand at each meeting a list of
all committees and their members.
6. To furnish delegates with credentials.
7. To sign all certified acts of QHP.
8. To maintain record books in which the by-laws, special rules of order,
standing rules and policies, and minutes are entered, with any amendments to
these documents properly recorded, and to have the current record books on hand
at every meeting.
9. To notify the members of each meeting and to conduct the general
correspondence of QHP.
10. To prepare, prior to each meeting, an order of business for the use of the
presiding officer, showing their exact order, under each heading, all matters
known in advance that are due to come up and if applicable, the times for which
they are set.
11. In the absence of the president and vice-president to call the meeting to
order and preside until immediate election of a chairman pro tem.
12. To file such reports as necessary with the state and federal governments.
13. To have general charge of the correspondence of the organization.
14. To be a de-facto member of all committees.
d. Duties
of the Treasurer
The Treasurer is entrusted with the custody of the funds of QHP.
1. If required by vote of the active membership, the treasurer shall be bonded
for a sum sufficient to protect QHP from loss.
2. At each monthly business meeting the treasurer shall submit a report of the
cash balance, income, bills due, disbursements, etc.
3. The treasurer is required to make a full financial report annually of all
cash on hand, income, and disbursements.
4. The treasurer shall propose a yearly budget
5. The treasurer shall make disbursements only with the full authority of QHP,
except that the treasurer may authorize the expenditure of up to $100 for a
single purpose.
6. To be a de-facto member of all committees.
7. To establish and coordinate all fundraising activities of the
organization.
e.
Duties of the Communications Officer
The communications officer (CO) is responsible for: maintaining a complete
roster of all members (active, associate, honorary, inactive) as well as a
roster of all students. The roster shall include their mailing addresses, all
telephone numbers and e-mail addresses as well as spouses name. The list shall
be updated regularly and provided to members in hard copy form when requested.
The CO shall assist the other officers with distributing information to members
when required. The Communications Officer is responsible for all inner band communications.
This includes but is not limited too:

Thursday Night Announcements
Press Releases
Emails must be sent to members in an immediate manner.
Event Sheets – It will be the CO responsibility to verify that events sheets
are checked off by all members no later than one week prior to a performance
even if this requires contacting each individual member.
Event Details – The CO will be responsible for passing along the following
information to members, Event muster time and place. and uniform to be worn for
the event, also any other important details that members may need to know about
the event. This should be done no later than the Thursday prior to the
performance.
Transportation Details – The CO will oversee and make a list of all members
riding the bus to an event. This list should be kept on file for expense
purposes for the treasurer.
In the event of members taking their own vehicles it is the CO’s responsibility
to provide directions to the event. This should be done no later than the
Thursday prior to the performance.
Thursday Night Announcements – The CO will be granted the floor at the end of
each practice to pass on information to members. An announcement list should be
provided to instructors, who run classes in locations other than Monson.
Press Releases- The CO will maintain a list of various media contacts. All
press releases must be approved by the President prior to release to the media.
Press releases must be distributed in an immediate manner to the media.
f.
Duties of the Business Officer
The Business Officer (BSO) is the direct contact between the QHP and parade
committees, municipal officials, and any other group, organization or entity
desiring to retain or employ QHP for performances. At the direction of the
President and/or the Executive Board, the BSO shall contract with such
individuals or agencies for such performances.
Section
2. Regimental Officers
The Regimental Officers shall specifically include:
Pipe-Major
Drum-Major
Quartermaster
Sergeant-at-Arms
In addition to any other duties delineated herein, The Regimental Officers
shall participate equally on the Executive Board with the Administrative
Officers and vote equally on all matters pertaining to the Musicianship of QHP.
Moreover, should a majority of the Administrative Officers desire, the
Regimental Officers shall be invited to participate in any other matters that
come before the Administrative Board. In the event of more than one Drum Major,
it will be the Sr. Drum Major that is awarded the vote. The Regimental Officers
shall also have the following specific duties.
a.
Duties of the Pipe-Major
The Pipe-Major is the chief musician, instructor, judge, and leader of QHP.
He/she is elected by the general membership at the
Annual Meeting from nominees Proposed by the Executive Board, serving a term of
two years. The Pipe-Major is the final
authority for all matters of a musical nature. The Pipe-Major appoints and
removes all other regimental officers unless
otherwise specifically covered in the By-Laws.
b.
Duties of the Drum-Majors
The Drum-Major leads QHP while in parade formation and is responsible for the
military bearing of QHP. His/her specific duties shall be to inspect all
personnel before any performance to ensure that each member’s bearing and
uniform comports with the standards established by QHP. He/she is elected by the general membership at the Annual Meeting
from nominees proposed by the Executive Board, serving a term of two
years.
c.
Duties of the Quartermaster
The Quartermaster shall have general charge of the stores and equipment of QHP.
He/she shall account to both the Treasurer and the Pipe-Major for all receipts,
disbursements, and the stock on hand. The
Quartermaster is an elected position, elected by the general membership at the
annual meeting, serving a term of one year.
d. Duties of
the Sergeant-Arms
The Sergeant-at-Arms shall act as
a liaison and assistant of the Drum-Major with the band. The SAA will convey information from the DM
to the band when necessary. While on
parade the SAA shall bear arms and escort the American Flag. The SAA shall cross-train as a DM and serve
as the fill-in for the DM, in the event a DM is not available. The position is the senior most rank of the Highland
Guard and Drum Corps, supporting the DM in all aspects.
Section 3. Other Regimental Officers
From time to time, as the need arises, the Pipe-Major may appoint other
regimental officers. Their respective duties and responsibilities are set forth
by the Pipe-Major. He/she is appointed by and serves at the pleasure of the
Pipe-Major.
These positions are not intended to be voting positions on the Executive
Board. They are as follows:
Drum Sergeant or Pipe Sergeant
Drum Corporal or Pipe Corporal
Drummer First class or Piper First Class
Section 4. Executive Board
The Executive Board shall consist of the
Administrative Officers the Pipe-Major, the Senior Drum-Major and the
Quartermaster. No officer,
Administrative or Regimental, shall receive any wage, fee, or stipend for any
duties performed in such capacity.
Section 5. Terms of
Office of Administrative Officers and Vacancies
The Administrative Officers shall be elected by ballot of the active membership
to serve for one year, or until their respective successors are elected. Their
term of office shall begin at the close of the annual meeting at which they are
elected. In the event of a vacancy a special meeting of the membership shall be
called for an election. A member may be appointed by a majority vote of the
administrative officers to fill-in until the election is conducted.
Any administrative officer, who due to illness, injury, or other incapacitation
is unable to fulfill his / her duties for more than 30 days, shall be
temporarily relieved of his / her obligations, for such time as necessary only
by a two-thirds vote of the QHP's executive panel, with a specific reason being
stated for the removal, and being duly noted in the minutes. In addition said
administrative officer shall be given 7 days prior notice of the QHP's
executive panels, intent to remove said officer. In such case, the president
shall appoint a replacement administrative officer, only after the Board of
Officers has voted to replace the administrative officer. The replacement shall
serve until the next annual meeting or until the duly elected member is able to
resume his or her duties. The executive panel consists of the administrative
officers; pipe Major, Drum Major and Quarter Master.
Section 6. Nominating Committee Duties and
Responsibilities
Each year, prior to the annual meeting, a nominating committee shall be formed
for the purpose of soliciting the names of individuals who may be desirous of
becoming an administrative officer. The Administrative Board shall appoint at
least two members to a nominating committee least one week prior the annual
meeting. The names of all such individuals desirous of seeking an
administrative office and the office the individuals are seeking shall be
listed on a written ballot for a closed election by the membership. To the
extent possible pursuant to Article VI(6), the list of candidates shall be
disseminated to the members. The nominating committee shall conduct the voting
at the annual meeting.
Section
7. Limitations
No member shall hold more than one position on the
Executive Board. There is no limit on the tenure of a person holding
office, and officers may be re-elected to the same office.
Section 8. Other
(Administrative Board) Appointed Positions
a. A Webmaster
will be appointed by a two thirds vote of the Administrative Board. The Webmaster will maintain the website
posting regular updates of schedules, rosters, pictures, members only
discussion page, and the email system of the site.
ARTICLE VI
MEETINGS
Section 1. Regular
Meetings of the Executive Board
Not less that once per month there shall be a regular meeting of the Executive
Board. The date and time of such meeting shall be established and so ordered by
the President, Secretary or delegate. Nothing herein shall preclude the
Executive Board from meeting on a band practice night to handle such matters as
may be required. Notice shall be provided as herein stipulated.
Section 2. Annual Meeting
of the Membership
The regular meeting in November shall be the Annual meeting of the membership
and shall be for the purpose of electing officers for the ensuing calendar
year, receiving reports of officers and committees, and any other business that
may arise. The Executive Board shall establish the exact date and time of said meeting.
Section 3. Special Meetings
Special meetings of the membership may be called by the President or shall be
called upon written request of one-fourth the total active members of QHP. The
purpose of the meeting shall be stated in the call. Special meetings of the
Executive board may be called by the President or Pipe-Major.
Section 4. Quorum
One-third of the total QHP active members shall constitute a quorum for
membership meetings. A majority of the executive board shall constitute quorum
for an executive board meeting.
Section 5. Weekly Practice
Meetings
At least once per week, and at other times as may be established by the
Pipe-major, QHP shall meet for band rehearsal, music instruction and other band
activities. Notwithstanding, certain business may be conducted, including but
not limited to apprising the membership of ongoing band related issues, but
such meetings shall not inhibit the band activities of QHP.
Section 6. Notice
The President, Secretary or delegate shall provide not less that three days
notice of all meetings. Such notice shall be made by e-mail, telephone, or
general mail, or shall be established by the President to be on a particular
night of each month.
Section 7. Order of Business
Reading and approval of minutes.
Reports of officers, boards, and committees.
Unfinished business and general orders.
New business.
Announcements.
Adjournment
Items that members wish to be placed upon the agenda should be submitted in
writing to the secretary at least three days before the scheduled meeting.
Section 8. Voting
The organization will not allow the use of proxy votes. Unless otherwise
specified all votes will be by raised hand.
ARTICLE VII
COMMITTEES
From time to time, as the need arises, committees may be formed in order to
accomplish a specific task. All committees will be chaired by an active member
of QHP. The Chairman will be required to submit status reports to the Executive
Board each month, and shall submit a final report for the record upon
completion of the task.
ARTICLE VIII
CHECK WRITING AUTHORITY AND FISCAL RESPONSIBILITY
The Treasurer shall be the custodian of QHP checkbook. Any check drawn on QHP
funds, or any directive issued to any bank, trustee, or institution holding QHP
funds, to pay, release, transfer or wire funds from a QHP account, shall
contain the signatures of two (2) current administrative officers.
Therefore, following each annual meeting, or at such times when there may be an
interim replacement or change of an administrative officer, the Secretary shall
prepare a letter addressed to each trustee or banking institution where QHP
funds are maintained. The letter shall inform that institution or trustee of:
1. The requirement of two signatories on each check or withdrawal document.
2. The slate of administrative officers and the position of each individual, as
well as any other information that may be required by law or by the
institution.
3. It shall also affirmatively state that these and no other individual are so
authorized.
4. The letter shall also direct the institution or trustee to prepare such
documents as may be necessary to record the signatures of the officers so
authorized.
The books and records of QHP may be inspected by any member at any time by
making arrangements with the Secretary and /or Treasurer to do so at a
reasonable time and place.
ARTICLE IX
PARLIAMENTARY AUTHORITY
The rules contained in the current edition of Robert’s Rules of Order Newly
Revised shall govern QHP in all cases to which they are applicable and in which
are not inconsistent with these by-laws and any special rules QHP may adopt.
ARTICLE X
AMENDMENT OF BY-LAWS
Section 1.
Any alteration or amendment to these bylaws shall be made at the Annual
Meeting. Notice of any proposed alteration or amendment shall be sent by email
to members entitled to attend and vote, and posted in the band room, by the
executive board 21 days prior to the Annual meeting at which the amendment is
to be presented.
Section 2.
Any member should submit his amendment to the executive panel at the business
meeting prior to the 21day deadline.
ARTICLE XI
EXECUTIVE ORDERS
Should these by-laws be silent on a particular issue, then the Executive Board
may, by a two-thirds vote, adopt such Executive orders as may be required in
the furtherance of QHP activities. Said executive orders shall be numbered and
proclaimed to the membership. A two-thirds vote shall be required to delete and
remove an executive order.
ARTICLE XII
DISSOLUTION OF QHP
QHP may be dissolved by 2/3rds vote at a special meeting called for that
purpose. Written notice of Intention to Dissolve is to be sent to each voting
member, no less than eight weeks nor more than twelve weeks prior to the date
set. The Intention to Dissolve, and date, for a special meeting may be proposed
by any member at any regular meeting, duly seconded, and decided by 2/3rd vote.
In the case of dissolution, none of QHP’s holdings shall be distributed among
its members, or to any person for private use. Prior to dissolution, members
shall select by 2/3rds vote one or more organizations qualifying under section
501(C)(3) of the Internal Revenue Code or corresponding section of any future
tax code, or shall be distributed to the federal government, or to a state or
local government, for a public purpose. Any such assets not disposed of shall
be disposed of by a Probate Court or other applicable court of the county in
which the principle office of QHP is then located, exclusively for such purpose
or to such organization(s), as said Court shall determine, which are organized
and operated exclusively for such purposes.
Written notice of dissolution shall be made to the Secretary of the
Commonwealth of Massachusetts. Written notice of dissolution shall be mailed to
each member on the rolls, immediately following the special meeting at which
dissolution is decided.
ARTICLE XIII
INTERNAL REVENUE CODE CONFORMITY
Quaboag Highlanders Pipeband is organized exclusively for charitable and
educational purposes, including, for such purposes, the making of distributions
to organizations that qualify as exempt organizations under section 501(c)(3)
of the Internal Revenue code, or corresponding section of any future federal
tax code.
Notwithstanding any other provision of its Articles of Organization or By-laws,
the purposes of The Quaboag Highlanders Pipeband will be limited exclusively to
exempt purposes within the meaning of section 501 (c)(3) of the Internal
Revenue code or corresponding section of any future federal tax code.
No part of the net earnings of The Quaboag Highlanders Pipeband shall inure to
the benefit of, or be distributable to its members, trustees, officers or other
private persons, except that The Quaboag Highlanders Pipeband shall be
authorized and empowered to pay reasonable compensation for services rendered
and to make payments and distributions in furtherance of the purposes set forth
in the purpose clause hereof. No substantial part of the activities of The
Quaboag Highlanders Pipeband shall be the carrying on of propaganda, or otherwise
attempting to influence legislation, and the organization shall not participate
in, or intervene in (including the publishing or distribution of statements)
any political campaign on behalf of any candidate for public office.
Upon the dissolution of The Quaboag Highlanders Pipeband, assets shall be
distributed for one of more exempt purposes within the meaning of section
501(c)(3) of the Internal Revenue Code, or corresponding section of any future
federal tax code, or shall be distributed to the federal government, or to a
state of local government, for a public purpose. Any such assets not disposed
of shall be disposed of by the Court of Common Pleas of the county in which the
principal office of The Quaboag Highlanders Pipeband is then located, exclusively
